Mr. Chen is the Founder and Managing Partner of Celine & Partners, PLLC, a securities law firm focused on capital markets and regulatory compliance. He earned his Juris Doctor from the Benjamin N. Cardozo School of Law, where he developed a strong foundation in corporate and securities law.
Mr. Chen advises clients on a broad range of securities matters, including public and private offerings, SEC compliance, corporate governance, and capital markets transactions. His practice is particularly focused on cross-border transactions between the United States and China, where he helps clients navigate complex regulatory regimes and evolving market conditions. Cassi Olson, Senior Counsel
Ms. Olson serves as Senior Counsel at Celine & Partners, PLLC and is a highly accomplished attorney with extensive experience in securities law, capital markets, and complex transactional matters. She brings a broad and sophisticated skill set to advising clients on a wide range of financial and regulatory issues.
Her practice focuses on securities offerings, public company representation, initial public offerings, mergers and acquisitions, private placements, capital raises, and SEC reporting and enforcement matters. Ms. Olson also has significant experience with reverse mergers, cross-border transactions, and international licensing and distribution agreements. She is particularly skilled in guiding offshore companies through entry into U.S. capital markets, as well as structuring and negotiating international transactions.

- Represented FOXO Technologies Inc. in its business combination with special purpose acquisition company Delwinds Acquisition Corp., resulting in FOXO becoming a publicly traded company on the NYSE.
- Represented EF Hutton as underwriter’s counsel in multiple initial public offerings, including Yoshiharu Global Co. (NASDAQ: YOSH) and Reborn Coffee, Inc. (NASDAQ: REBN), both now publicly traded on NASDAQ.
- Represented Greenwave Technology Solutions, Inc. (NASDAQ: GWAV) in connection with its listing on NASDAQ.

Mitchell Kevett, Capital Markets & M&A Associate
Mitchell Kevett is a Capital Markets & M&A Associate at Celine & Partners, PLLC. He earned his Juris Doctor from the Benjamin N. Cardozo School of Law in 2025 and is admitted to practice law in New York.
While at Cardozo, Mr. Kevett served as a Staff Editor for the Journal of Equal Rights and Social Justice and was a recipient of the Dean’s Merit Scholarship. His legal training emphasized securities regulation, transactional drafting, and complex regulatory compliance.
Mr. Kevett’s practice focuses on capital markets transactions, M&A, and securities regulation, with particular experience in cross-border SPAC and IPO matters. At Celine & Partners, he plays a key role in the drafting and execution of SPAC IPOs, extensions, de-SPAC transactions, uplistings, and operating-company filings. His experience includes preparing and contributing to SEC filings such as Forms S-1, S-4, F-4, 10-K, and 10-Q, as well as proxy statements, beneficial ownership disclosures, and transaction closing materials. He regularly coordinates with underwriters, auditors, offshore and PRC counsel, EDGAR vendors, and transfer agents.
Prior to focusing on capital markets, Mr. Kevett developed a strong foundation in intellectual property law through working on trademark and patent matters, IP transactions, brand enforcement, artist and personality rights, and cultural-property issues. This background enhances his ability to advise clients on transactions involving IP-heavy assets and cross-disciplinary legal considerations.
