Celine Chen, Partner

Celine Chen is a partner at Celine & Partners and a member of the firm’s Capital Markets Practice. She specializes in providing guidance to issuers and investors involved in initial public offerings (IPOs) of special purpose acquisition companies (SPACs), as well as advising target companies and investors in de-SPAC business combination transactions. Celine has been actively assisting clients with SPAC transactions since 2020. Additionally, she possesses expertise in both immigration law and family law.

Celine earned her law degree from Renmin University of China, School of Law, one of China’s premier law schools. She also holds a JD from Benjamin N. Cardozo School of Law at Yeshiva University.

Cassi Olson, Senior Counsel

Ms. Olson is a savvy and highly driven attorney with vast experience in SEC/finance and entertainment matters and possesses a broad spectrum of competencies.

Ms. Olson specializes in securities matters, public company representation, going public, mergers & acquisitions, private placements, world-wide licensing and distribution agreements, reverse mergers, capital raises, business & corporate law and SEC filings and defense matters. She is an expert at bringing offshore companies into US capital markets and is skilled at preparing international contracts and venture negotiations.

• Represented FOXO Technologies Inc., a technology company applying epigenetic science and AI to modernize the life insurance industry, in their merger with special purpose acquisition company (SPAC) Delwinds Acquisition Corp. FOXO is now publicly traded on the NYSE under ticker symbol ‘FOXO.’ 
• Represented EF Hutton, the underwriter on two Initial Public Offerings that are now trading on NASDAQ: Yoshiharu Global Co. (NASDAQ: YOSH) is a a fast-growing restaurant operator specializing in Japanese ramen and Reborn Coffee, Inc. (NASDAQ: REBN) is focused on serving high quality, specialty-roasted coffee at retail locations, kiosks and cafes. 
• Represented Greenwave Technology Solutions, Inc. (Nasdaq: GWAV), a leading operator of 11 metal recycling facilities in Virginia and North Carolina, in connection with its NASDAQ listing.

Qihang Li (Irene), Associate

Qihang (Irene) Li advises on cross-border capital market and corporate transactions, with a particular focus on SPAC IPOs and de-SPAC business combinations. She also advises domestic and foreign issuers and investors on a variety of securities offering, disclosure, and compliance matters. Experience spans advising on transaction and corporate structuring, deal and timeline management, deliverable coordination and execution, and negotiation on and drafting key transaction documents including deal prospectuses/underwriting agreements.

Irene has been involved in several SPAC, OTC IPO, and de-SPAC projects, becoming the go-to person for our publicly listed issuers on various legal matters. Irene’s clients benefit from her diverse background in cross-border transactions.

Boyang Xu, Summer Associate/School Year Intern

Boyang provides a range of administrative and legal research support to assist attorneys at a law firm. Additionally, Boyang is involved in conducting due diligence, preparing onboarding packages, performing background checks, and facilitating the formation of SPAC entities and sponsor entities. Boyang also assists in drafting compliance-related documents for submission to the SEC and FINRA.

Boyang is currently a JD student at the Benjamin Cardozo School of Law and holds an undergraduate degree from the University of Washington.

Qi (Lisa) Gong， Manager

Ms. Gong has extensive experience in investment and financing, specializes in mergers and acquisitions, restructuring, and investment operations. Her work spans business, finance, and even the film and television industry in the United States.

Renowned for her exceptional marketing, organizational, and leadership skills, she has successfully led a securities team, providing guidance, recommendations, and restructuring services for numerous Chinese enterprises, ultimately helping them enter the U.S. capital market.

Ms. Gong graduated from Hefei University of Technology and serves as the Secretary General of the American Alumni Association.
